Terms of Service

1. Acceptance of Terms

By accessing or using StayDirectAI (the "Platform," operated by StayDirectAI), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of a hotel or business entity, you represent that you have authority to bind that entity. If you do not agree to these terms, do not use the Platform.

2. Platform Description

StayDirectAI is a Software-as-a-Service platform that provides independent hotels with: (a) AI-powered B2B sales outreach targeting companies attending local events, and (b) automated B2C guest journey email sequences. The Platform is designed to generate direct bookings and reduce OTA commission costs.

3. Commission-Based Fee Model

A one-time setup fee of $200 is charged at onboarding. There is no monthly subscription fee. StayDirectAI charges a commission of 4% (B2C) or 4–7% (B2B + B2C full platform) on verified direct bookings that are attributable to Platform-generated activity. The specific commission rate is agreed upon in writing at onboarding.

  • Commissions are invoiced monthly via Stripe
  • Attribution uses discount codes, UTM parameters, referral IDs, and email-to-booking time correlation
  • Disputed attributions must be raised within 14 days of invoice issuance
  • Late payments (beyond 30 days) may result in service suspension
  • Optional website builder feature is subject to separate pricing

4. Client Responsibilities

As a hotel client, you are responsible for:

  • Providing accurate hotel, contact, and PMS integration information
  • Reviewing and approving seasonal marketing campaigns before distribution
  • Ensuring your hotel has a physical mailing address for inclusion in B2B emails (CAN-SPAM compliance)
  • Maintaining guest consent for marketing communications where required by applicable law (GDPR, CASL, etc.)
  • Notifying us immediately of any data breaches or security incidents affecting shared credentials

5. Acceptable Use

You may not use the Platform to:

  • Send spam or email communications that violate CAN-SPAM, GDPR, or other applicable laws
  • Scrape, reverse engineer, or extract underlying AI prompts or system architecture
  • Resell or white-label the Platform without written authorization
  • Submit false attribution claims to inflate commission credits
  • Interfere with the security or integrity of the Platform or other clients' data

6. B2B Email Sending — Important Notice

All B2B cold outreach emails are sent from shared StayDirectAI infrastructure (dedicated sending domains), never from your hotel's primary domain. This protects your hotel domain's email reputation. You acknowledge that: (a) you have reviewed and approved the outreach strategy for your property, (b) target contacts are identified through legitimate business intelligence sources (PredictHQ, Apollo.io), and (c) all emails include required unsubscribe mechanisms.

7. AI-Generated Content

The Platform uses AI models (including Claude by Anthropic and GPT-4o by OpenAI) to generate email content. While we design prompts to produce accurate and appropriate content, we do not guarantee that AI-generated content will be free from errors. You are encouraged to review AI-drafted seasonal campaign emails (which require your approval via Slack) before they are sent. StayDirectAI is not liable for inaccuracies in AI-generated content.

8. PMS Integration & Data

You authorize StayDirectAI to connect to your Property Management System using credentials you provide. We store these credentials encrypted at rest (AES-256-GCM). You remain responsible for the accuracy of PMS data. We are not liable for errors arising from incorrect or stale PMS data.

9. Term and Termination

This agreement begins on the date of your first access to the Platform. Either party may terminate with 30 days written notice. StayDirectAI may terminate immediately for material breach, non-payment, or violations of acceptable use. Upon termination, your data will be retained for 90 days then deleted.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYDIRECTAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST REVENUE, LOST BOOKINGS, OR LOSS OF DATA) ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY SPECIFIC LEVEL OF BOOKING REVENUE WILL BE ACHIEVED. RESULTS VARY BY PROPERTY LOCATION, MARKET CONDITIONS, AND OTHER FACTORS OUTSIDE OUR CONTROL.

12. Confidentiality

Both parties agree to keep confidential any non-public business information disclosed during the course of this agreement. This does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration under AAA Commercial Arbitration Rules.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated 30 days in advance via email. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
